TERMS OF USE AND OFFICIAL GAME RULES
Effective Date: September 1, 2026
Operator: DownRangeTec LLC, doing business as willclay25
IMPORTANT: PLEASE READ THESE TERMS CAREFULLY. THEY CONTAIN IMPORTANT LIMITATIONS OF LIABILITY, RULES GOVERNING PRIZE ELIGIBILITY AND FULFILLMENT, AND AN AGREEMENT TO RESOLVE DISPUTES BY INDIVIDUAL BINDING ARBITRATION, INCLUDING A CLASS-ACTION WAIVER AND A 30-DAY OPT-OUT RIGHT.
These Terms of Use and Official Game Rules ("Terms") are a legally binding agreement between you ("you," "your," or "Player") and DownRangeTec LLC, doing business under the willclay25 brand ("DownRangeTec," "willclay25," "we," "us," or "our").
These Terms govern your access to and use of the willclay25 online claw-machine website, live video streams, remote game controls, queue system, prize-claim system, related software, and associated services (collectively, the "Service"). The Service is currently offered at https://dominatorclaw.com.
By checking the box indicating that you accept these Terms, joining the game queue, controlling the Game, submitting a prize claim, or otherwise using the Service after being presented with these Terms, you acknowledge that you have read, understood, and agree to be bound by them.
If you do not agree, do not use the Service.
1. DESCRIPTION OF THE SERVICE
The Service allows eligible users over the Internet to view and, when selected from a queue, remotely control a real, physical arcade claw machine located at a facility operated by or on behalf of DownRangeTec LLC.
The physical machine may contain merchandise, promotional items, collectibles, or other prizes selected by DownRangeTec.
The Service may include live video of the physical machine; multiple selectable camera views; a virtual queue; remote directional controls; remote activation of the claw or other game mechanisms; automated game timers; automated sensors; RFID or other prize-identification systems; automated or manually reviewed win detection; prize-claim functionality; and shipping or fulfillment services.
The physical machine, cameras, computer systems, network connections, sensors, RFID equipment, software, and other components are collectively referred to as the "Game System."
Viewing the public live stream does not, by itself, create any right to play, any place in the queue, or any right to a prize.
2. FREE PLAY — NO PURCHASE NECESSARY
THE SERVICE IS CURRENTLY FREE TO PLAY.
No purchase, payment, subscription, donation, merchandise purchase, or other monetary consideration is required to enter the queue, operate the Game, or become eligible to receive a prize.
Making a purchase from DownRangeTec, willclay25, Team Dominator, or any other store or brand whose merchandise appears in the machine does not improve your chances of receiving a turn, winning a prize, or receiving any other advantage in the Game unless expressly stated in separate official promotional rules.
Prizes have no cash redemption value through the Service. Prizes may not be exchanged for cash.
DownRangeTec reserves the right to introduce paid services, arcade credits, subscriptions, promotions, or other features in the future. Any future paid-play program will be subject to separate or revised terms and will not become effective merely because these Terms contemplate the possibility of such a program. If paid play is introduced, paid players will not receive a secretly stronger claw, better camera, preferred prize position, or other undisclosed gameplay advantage over free players unless that advantage is clearly disclosed in the then-current official rules.
3. SKILL-BASED PHYSICAL AMUSEMENT GAME
The Game is intended to operate as a skill-based physical amusement game.
When it is your turn, you remotely control a real physical machine. Player decisions may include the position, movement, timing, alignment, and/or activation of the claw.
The Game is not intended to be a lottery, casino game, wagering service, or game in which DownRangeTec randomly selects winners.
DownRangeTec intends for player skill to materially influence the outcome of each play. DownRangeTec will not use hidden payout percentages, randomized claw-strength schedules, or similar undisclosed mechanisms whose purpose is to award or withhold prizes independent of the Player's control of the machine.
The Player acknowledges that physical arcade machines inherently involve variables outside the Player's control, including, without limitation: shape and weight of merchandise; merchandise position; interaction between neighboring objects; friction; claw alignment; mechanical tolerances; network latency; camera perspective; physical movement of objects; and other mechanical or environmental conditions.
No particular outcome is guaranteed. Nothing in these Terms is a representation that every jurisdiction will characterize the Game in the same manner.
4. FIXED AND FAIR GAME OPERATION
DownRangeTec intends to operate the Game in a manner consistent with ordinary skill-based amusement play.
Unless clearly disclosed otherwise, the Game will not intentionally select individual Players to win or lose.
DownRangeTec may adjust, repair, calibrate, maintain, or replace components of the machine as reasonably necessary for operation. Game characteristics may therefore change from time to time because of maintenance, hardware replacement, prize configuration, software updates, or other operational changes.
DownRangeTec does not guarantee that every prize will have the same degree of difficulty to capture.
5. ELIGIBILITY
Unless otherwise expressly stated, you must be at least eighteen (18) years old and legally capable of entering into a binding agreement to use the interactive portions of the Service, including joining the queue, controlling the Game, and claiming a prize.
The public live stream may be viewable by persons who are not eligible to participate. Viewing the stream does not create eligibility to play or claim a prize. Persons under 18 may not join the queue, control the Game, or submit a prize claim.
You may not participate where participation is prohibited by applicable law.
Employees, officers, members, and contractors of DownRangeTec LLC who have operational access to the Game System, and members of their immediate household, are not eligible to receive prizes through the Service. DownRangeTec may permit such persons to test the Service without prize eligibility.
DownRangeTec may restrict access based upon location, age, suspected abuse, legal requirements, technical limitations, or other legitimate operational reasons.
6. GEOGRAPHIC RESTRICTIONS AND APPLICABLE LAW
Internet availability of the Service does not constitute a representation that the Service is lawful or available in every jurisdiction.
You are responsible for complying with laws applicable where you access or use the Service. The Game is void where prohibited by law.
To play and to claim a prize, you must be physically located in the United States (the fifty states and the District of Columbia) at the time of play. The Service is not offered outside the United States. U.S. territories are not eligible unless DownRangeTec later expressly enables them in the Service.
Prizes are shipped only to addresses in the United States that the Service then supports. DownRangeTec is not obligated to ship to P.O. boxes, freight forwarders, or addresses outside supported territory.
While the Service remains free to play, DownRangeTec is not geo-blocking individual U.S. states as of the Effective Date. DownRangeTec may later block particular states or localities if law, regulation, or risk requires it, including if paid play is introduced.
DownRangeTec may block, restrict, suspend, or discontinue access from any state, territory, country, geographic area, IP address, network, or user when DownRangeTec reasonably believes doing so is necessary for legal, regulatory, security, fraud-prevention, or operational reasons. Attempts to circumvent geographic restrictions, including through VPNs or proxies, may result in removal from the queue, voiding of a play or purported win, and termination of access.
DownRangeTec does not intend to offer participation in jurisdictions in which the Game cannot lawfully be offered.
7. GUEST SESSIONS
The Service may allow participation without creating a traditional user account.
The Service may automatically assign a temporary guest identifier, session identifier, display name, token, cookie, or similar identifier ("Guest Session").
Guest Sessions do not establish ownership rights; may expire; may be terminated by DownRangeTec; may be lost if browser data is deleted; may not transfer between devices; and may be associated with security and anti-abuse information.
You are responsible for maintaining access to the device and browser associated with your Guest Session. DownRangeTec does not guarantee recovery of a lost Guest Session. If a Guest Session is lost before a Verified Win is claimed, DownRangeTec may still fulfill the prize if it can reasonably verify the winner through logs, claim tokens, or other reliable records; it is not required to reconstruct a session that cannot be reasonably verified.
8. QUEUE
Participation may be managed through an automated queue. Joining the queue does not guarantee that you will receive a turn.
The Service may require you to confirm that you remain present shortly before your turn. Failure to respond within the displayed time may result in removal from the queue.
DownRangeTec may establish or modify queue limits; readiness periods; turn durations; re-entry delays; cooldown periods; daily play limits; geographic limits; anti-abuse limits; and other queue-management rules. Current limits may be displayed in the Service interface and may change.
Queue positions and estimated wait times are estimates only and are not guaranteed.
9. ONE PLAYER / FAIR ACCESS
You may not manipulate the Service to obtain an unfair number of turns or advantages.
Prohibited behavior includes: operating multiple simultaneous Guest Sessions; intentionally circumventing queue limits; using multiple devices to reserve multiple positions; using VPNs or proxies to circumvent geographic restrictions; automated queue joining; bots; scripts; macros; automated control software; replay attacks; falsified network requests; exploiting software bugs; manipulating browser or API traffic; impersonating another Player; and interfering with another Player's session.
DownRangeTec may remove queue entries, terminate sessions, void plays, void purported wins, block devices or networks, or permanently prohibit access when we reasonably determine that abuse or manipulation has occurred.
10. PLAYER CONTROL PERIOD
Only the Player designated by the Game System as the active Player is authorized to control the machine.
A turn begins and ends according to the server-controlled Game System, not according to the Player's browser clock, video display, perceived latency, or device.
Commands received after expiration of a turn may be ignored.
Network delay may cause the video displayed on your device to differ slightly from the physical state of the machine. The Game System's authoritative server timestamps and machine state control.
11. WHAT CONSTITUTES A WIN
THIS SECTION IS MATERIAL TO YOUR PARTICIPATION.
A Player does not acquire a right to a prize merely because: an item appears to enter the prize chute; an item appears to fall on video; the Player believes the claw successfully captured an item; another viewer believes the Player won; an animation or message appears on the Player's device; a camera angle makes an item appear to have entered the prize area; or a software, sensor, network, video, RFID, or display error incorrectly indicates a win.
A "Verified Win" occurs only when the Game System records a potential winning event and that event is successfully validated in accordance with DownRangeTec's reasonable verification procedures.
Verification may include one or more of: RFID detection; prize-chute sensors; machine telemetry; server logs; timestamps; video review; camera footage; physical inspection; inventory records; operator review; and other available evidence.
A prize is not earned, awarded, or owed until a potential win has been verified by DownRangeTec.
Subject to these Terms, a Verified Win creates an obligation on DownRangeTec to fulfill a prize to an eligible Player who timely completes the claim process. That obligation is subject only to: ineligibility; fraud or abuse; abandonment after the claim deadline; inability to complete required tax or identity verification when legally required; a permitted prize substitution under Section 15; or a determination under Sections 12 or 25 that the event was not a legitimate physical win.
12. TECHNICAL ERRORS AND FALSE WIN INDICATIONS
The Service depends upon Internet connections, cameras, physical machinery, RFID systems, sensors, microcontrollers, servers, third-party hosting providers, browsers, databases, and other technologies that may malfunction.
Possible failures include incorrect RFID reads; duplicate RFID reads; missed RFID reads; RFID reads from an unintended nearby item; sensor failures; camera freezes; delayed video; network interruptions; duplicated commands; dropped commands; incorrect graphical notifications; database errors; software bugs; machine jams; claw malfunctions; power failures; timing errors; incorrect prize identification; and other unintended behavior.
A technical indication of a win does not create an obligation to provide a prize if available evidence reasonably establishes that a qualifying physical win did not actually occur.
If the Service incorrectly displays a win because of a technical malfunction, erroneous RFID read, software defect, network error, sensor malfunction, database error, duplicate event, security incident, or similar issue, DownRangeTec may correct the record and cancel the erroneous win.
Conversely, if the automated system fails to detect what appears to be a legitimate physical win, DownRangeTec may review available records and award the prize, but does not guarantee that sufficient evidence will always exist to reconstruct or verify an unrecorded event.
13. MACHINE MALFUNCTION DURING PLAY
If a material malfunction occurs during your turn, DownRangeTec may, as appropriate: allow the play to stand; disregard the affected play; provide another free play; restore your queue position; manually review the event; or take another reasonable corrective action.
Because participation is free, a replay or restored opportunity to play will ordinarily constitute sufficient remediation for an interrupted or malfunctioning play that did not result in a Verified Win, to the maximum extent permitted by law. This Section does not reduce DownRangeTec's obligation to fulfill a Verified Win.
14. PRIZES
Prizes may consist of willclay25 merchandise, DownRangeTec merchandise, Team Dominator merchandise, or other branded or unbranded items selected by DownRangeTec. Team Dominator is a third-party brand. Unless a separate writing says otherwise, Team Dominator does not operate, sponsor, or administer the Service, is not a party to these Terms, and is not responsible for the Game, verification, or fulfillment. Appearance of Team Dominator names, logos, or products in the machine or on the Service does not mean Team Dominator endorses a particular Player or outcome.
Images, descriptions, retail values, sizes, colors, packaging, and other representations are illustrative and may differ from the prize ultimately provided.
Unless a different value is expressly stated in the Service at the time of play, prizes are merchandise items with an approximate retail value generally expected to be less than six hundred U.S. dollars ($600) per item. Approximate retail values are estimates only and do not constitute cash value owed to the Player.
Prizes have no cash redemption option; may not be exchanged for cash; are subject to availability; may have limited sizes or variants; and may be substituted as provided below.
15. PRIZE SUBSTITUTION
If an earned prize becomes unavailable, discontinued, damaged, lost, unsuitable for shipment, unavailable in the requested size, or otherwise impracticable to fulfill, DownRangeTec may substitute the same merchandise in another reasonable variant; substantially similar merchandise; another prize of reasonably comparable value; or another remedy agreed upon with the winner.
No cash payment is required unless DownRangeTec expressly chooses to provide one or applicable law requires otherwise.
16. CLAIMING A VERIFIED WIN
After a Verified Win, the Service may request information necessary to fulfill the prize. Information may include legal name; shipping name; mailing address; email address; telephone number; prize size; merchandise variant; tax-reporting information when required; and other reasonably necessary fulfillment information.
Providing this information does not create a public profile. Shipping information should never be displayed publicly through the Service.
A Player must provide complete and accurate information. DownRangeTec may require additional reasonable verification before shipment, including confirmation that the claimant is the Player associated with the Verified Win.
17. CLAIM DEADLINE
A Verified Win must be claimed within fourteen (14) days after DownRangeTec makes the claim process available to the winner.
If the winner fails to provide required information within that period, the prize may be deemed abandoned and forfeited.
DownRangeTec may extend the claim period in its discretion. DownRangeTec will make a reasonable attempt, using the contact information then associated with the session if any, to notify the winner that a claim is pending.
18. SHIPPING
Prizes will generally be shipped only to locations supported by the Service, currently addresses in the United States.
The winner is responsible for providing an accurate and deliverable shipping address.
DownRangeTec is not responsible for delays caused by carriers; incorrect addresses; weather; customs; natural disasters; theft after the carrier marks the package delivered; carrier disruption; or circumstances reasonably beyond DownRangeTec's control.
If a shipment is returned as undeliverable, DownRangeTec may attempt to contact the winner. Additional shipping charges caused by an incorrect address may be the responsibility of the winner where permitted by law.
Title and risk of loss pass to the winner upon the carrier's delivery to the address provided, except where applicable law provides otherwise.
19. LOST OR DAMAGED PRIZES
A winner should notify DownRangeTec within seven (7) days after delivery of materially damaged merchandise. Photographic evidence may be required.
DownRangeTec may, as appropriate and subject to applicable law: replace the item; substitute comparable merchandise; provide another remedy; or determine that no remedy is warranted.
Minor packaging damage that does not materially affect the merchandise does not necessarily qualify for replacement.
20. TAXES
Winners are solely responsible for any federal, state, local, or other taxes that may legally arise from receipt of a prize.
If the aggregate fair-market value of prizes awarded to a winner in a calendar year meets or exceeds the then-applicable IRS reporting threshold (currently $600), or if other tax-reporting obligations apply, DownRangeTec may require a completed Form W-9 or other tax documentation before shipping. Failure to provide required tax documentation within the claim period, or any extended period DownRangeTec grants, may result in forfeiture.
DownRangeTec may issue Form 1099-MISC or other required tax documentation.
21. SERVICE AVAILABILITY
The Service is provided on an "AS IS," "AS AVAILABLE," and "WITH ALL FAULTS" basis to the maximum extent permitted by applicable law.
The Service may be unavailable or interrupted because of maintenance; machine servicing; restocking; network outages; Internet failures; power failures; software deployments; server failures; camera failures; security incidents; equipment damage; excessive demand; weather; facility closures; or other circumstances.
DownRangeTec does not guarantee continuous availability.
22. RIGHT TO PAUSE OR CLOSE THE GAME
DownRangeTec may temporarily or permanently: close the queue; stop accepting Players; disable controls; place the Game in maintenance mode; end an active session when reasonably necessary for safety or security; suspend video; remove prizes; restock prizes; change prize configurations; or discontinue the Service.
No Player has a contractual entitlement to future access to the Game. Closing or pausing the Game does not cancel an already Verified Win that remains timely claimable.
23. SECURITY
You must not attempt to access or interfere with: the physical machine; Raspberry Pi or other machine controllers; microcontrollers; RFID systems; cameras; video infrastructure; administrative systems; APIs; databases; servers; authentication systems; cloud infrastructure; internal networks; or other systems not expressly made available to you.
Unauthorized access or attempted access may result in immediate termination and may be reported to appropriate authorities.
24. PROHIBITED CONDUCT
You may not:
25. INVALID OR FRAUDULENT WINS
A purported win may be voided when DownRangeTec reasonably determines that it resulted from: fraud; hacking; automation; exploitation; machine tampering; software manipulation; RFID spoofing; duplicate event processing; unauthorized access; deliberate interference; material violation of these Terms; or a technical event that did not correspond to a legitimate physical win.
DownRangeTec may preserve logs and other evidence concerning suspected abuse.
26. GAME RECORDS
The Game System may maintain records including queue events; gameplay commands; machine telemetry; timestamps; RFID reads; sensor events; IP and security information; session identifiers; win records; claim records; shipping status; and administrative actions.
To the extent reasonably reliable and permitted by law, these records may be used to investigate disputes, technical failures, abuse, and prize claims. In the event of a conflict between a Player's screen display and Game System records, the Game System records control.
27. VIDEO AND GAMEPLAY RECORDING
The Game area may be continuously photographed, streamed, and/or recorded. Gameplay footage may show the physical machine and prizes.
The Service is designed so that Players ordinarily control the machine remotely and are not physically present in the streamed machine area.
DownRangeTec may retain gameplay footage for security, technical troubleshooting, prize verification, promotional purposes, or dispute resolution, subject to the Privacy Policy and applicable law.
DownRangeTec will not intentionally publish a winner's legal name, mailing address, telephone number, or email address through the Game. Any public winner announcement will use the Player's temporary display name unless the winner consents to additional identification.
28. PUBLIC DISPLAY NAMES
The Service may automatically generate a temporary nickname or display identifier for Players. Players may not necessarily be permitted to choose their own public names.
This is intended to reduce abusive, obscene, personally identifying, or inappropriate public content.
A temporary public nickname is not necessarily associated publicly with a winner's legal name or shipping information.
29. PRIVACY
Your use of the Service is also governed by the Privacy Policy available at https://dominatorclaw.com/privacypolicy.
DownRangeTec may collect information reasonably necessary to: operate the Service; maintain queue state; prevent fraud and abuse; secure the Service; verify wins; fulfill prizes; communicate with winners; comply with legal obligations; and analyze Service performance.
Names, mailing addresses, telephone numbers, email addresses, and other private fulfillment information will not be intentionally displayed publicly through the Game.
DownRangeTec will use reasonable administrative, technical, and organizational safeguards designed to protect personal information. However, no Internet-connected system can be guaranteed to be completely secure.
The Service is not directed to children under 13. DownRangeTec does not knowingly collect personal information from children under 13. If you believe a child under 13 has submitted personal information, contact us using the information in Section 45 and we will delete it as required by law.
30. INTELLECTUAL PROPERTY
The Service, including its software, interface, graphics, audiovisual material, branding, designs, documentation, logos, trademarks, and other content, is owned by or licensed to DownRangeTec LLC except where otherwise indicated.
"willclay25" and associated branding are trademarks or proprietary identifiers of DownRangeTec LLC or its licensors. "Team Dominator" and related marks are trademarks of their respective owners. DownRangeTec does not claim ownership of Team Dominator marks. Those marks and any Team Dominator merchandise offered as prizes remain the property of their owners. Players receive no license to those marks beyond personal use of a fulfilled prize item.
Nothing in these Terms transfers ownership of intellectual property to the Player. Players receive only a limited, revocable, nonexclusive, nontransferable right to access the Service for its intended personal, noncommercial use.
31. THIRD-PARTY SERVICES
The Service may depend upon third-party providers for hosting; video transmission; content delivery; databases; analytics; security; shipping; email; text messaging; e-commerce fulfillment; and other functionality.
DownRangeTec does not control every third-party service and cannot guarantee their uninterrupted operation. Use of certain third-party services may additionally be subject to those providers' terms.
32. DISCLAIMER OF WARRANTIES
TO THE MAXIMUM EXTENT PERMITTED BY LAW, DOWNRANGETEC LLC DISCLAIMS ALL EXPRESS OR IMPLIED WARRANTIES CONCERNING THE SERVICE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, RELIABILITY, AND ERROR-FREE OPERATION.
DOWNRANGETEC DOES NOT WARRANT THAT: THE SERVICE WILL ALWAYS BE AVAILABLE; VIDEO WILL BE DELIVERED WITHOUT LATENCY; CONTROLS WILL ALWAYS BE RECEIVED IMMEDIATELY; RFID SYSTEMS WILL DETECT EVERY ITEM; SENSORS WILL NEVER MALFUNCTION; SOFTWARE WILL BE ERROR-FREE; EVERY APPARENT WIN WILL BE VERIFIED; OR EVERY VERIFIED PRIZE WILL BE AVAILABLE IN EVERY SIZE OR VARIANT.
Some jurisdictions do not permit certain warranty exclusions, so some exclusions may not apply to you.
33. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, DOWNRANGETEC LLC AND ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES, LICENSORS, SERVICE PROVIDERS, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM OR RELATING TO THE SERVICE.
THIS INCLUDES DAMAGES ARISING FROM: LOSS OF ACCESS; QUEUE POSITION; NETWORK INTERRUPTION; VIDEO LATENCY; MACHINE MALFUNCTION; SOFTWARE ERROR; LOSS OF DATA; FAILURE TO RECORD AN EVENT; ERRONEOUS WIN NOTIFICATION; UNVERIFIED PURPORTED WIN; PRIZE AVAILABILITY; SHIPPING DELAYS; AND THIRD-PARTY SERVICE FAILURE.
BECAUSE THE CURRENT SERVICE IS PROVIDED WITHOUT CHARGE, TO THE MAXIMUM EXTENT PERMITTED BY LAW, DOWNRANGETEC'S AGGREGATE MONETARY LIABILITY ARISING FROM THE FREE SERVICE SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100).
The foregoing cap does not limit DownRangeTec's obligation to fulfill a Verified Win with merchandise (or a permitted substitute) under Sections 11 and 14 through 19. The cap also does not limit liability that cannot lawfully be limited, including liability for fraud or willful misconduct, or any liability that applicable law requires to remain uncapped.
Nothing in these Terms excludes liability that cannot lawfully be excluded.
34. INDEMNIFICATION
To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless DownRangeTec LLC and its affiliates, members, managers, officers, employees, contractors, agents, licensors, and service providers from claims, damages, liabilities, losses, costs, and reasonable attorneys' fees arising from: your unlawful use of the Service; your intentional violation of these Terms; fraud or attempted fraud; unauthorized access; infringement of third-party rights; or intentional interference with the Game System.
This indemnification obligation does not apply to claims arising solely from DownRangeTec's own negligence or willful misconduct to the extent such a limitation is required by law.
35. SUSPENSION AND TERMINATION
DownRangeTec may suspend or terminate access when we reasonably believe that a Player: violated these Terms; engaged in fraud; abused the queue; attempted unauthorized access; exploited a vulnerability; interfered with another Player; created a security risk; or otherwise materially disrupted the Service.
Where appropriate, associated pending prize claims may be investigated before fulfillment. Suspension or termination does not automatically forfeit a Verified Win unless the win is voided under Section 25 or the Player is determined to be ineligible.
36. CHANGES TO THE SERVICE
DownRangeTec may change the Service, machine, interface, queue system, gameplay rules, prize inventory, cameras, technical infrastructure, or other features.
Material changes affecting existing prize claims will not retroactively invalidate a legitimate Verified Win merely because the Service subsequently changed.
37. CHANGES TO THESE TERMS
We may revise these Terms periodically. The effective date will appear at the beginning of the Terms.
For material changes, we may require Players to affirmatively accept the updated Terms before continuing to participate.
Continued use after legally sufficient notice constitutes acceptance to the extent permitted by applicable law. Changes will not retroactively reduce rights already accrued in a Verified Win.
38. INFORMAL RESOLUTION AND BINDING ARBITRATION
Please read this Section carefully. It affects your legal rights, including your right to file a lawsuit in court and to participate in a class action.
Except where prohibited by applicable law, you and DownRangeTec agree first to attempt in good faith to resolve any dispute informally. To begin that process, send a written notice describing the dispute to the email and mailing address in Section 45. We will attempt to resolve the dispute within thirty (30) days after receipt of a complete notice.
If the dispute is not resolved informally, you and DownRangeTec agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service will be resolved by binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, as modified by this Section. The AAA rules are available at www.adr.org.
The arbitration will be conducted by a single arbitrator. The seat of arbitration will be Lincoln County, Oklahoma, unless the parties agree otherwise or the arbitrator determines that a different location or a remote hearing is required for fairness. For claims of $10,000 or less, you may choose whether the arbitration is conducted solely on written submissions, by telephone or video, or by an in-person hearing.
YOU AND DOWNRANGETEC LLC AGREE THAT CLAIMS WILL BE BROUGHT ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN A PURPORTED CLASS, CONSOLIDATED, COLLECTIVE, OR REPRESENTATIVE ACTION, TO THE EXTENT SUCH WAIVER IS PERMITTED BY LAW.
This Section does not prevent either party from bringing an individual action in small-claims court if the claim qualifies. This Section also does not prevent DownRangeTec from seeking injunctive or other equitable relief in court to stop unauthorized access, intellectual-property infringement, or abuse of the Game System.
Fee allocation will follow the AAA Consumer Arbitration Rules, except that DownRangeTec will not seek its arbitration fees or attorneys' fees from you unless the arbitrator finds your claim was frivolous or brought in bad faith.
Opt-out. You may opt out of this arbitration agreement by sending written notice to the address in Section 45 within thirty (30) days after you first accept these Terms. The notice must include your name, the email or Guest Session identifier associated with your use of the Service if available, and a clear statement that you opt out of arbitration. If you opt out, Section 39 still applies, and disputes will be resolved in court as provided there.
If the class-action waiver is found unenforceable as to a particular claim, that claim must proceed in court and not in arbitration. If the arbitration agreement is found unenforceable in its entirety, Section 39 controls.
39. GOVERNING LAW AND FORUM
Subject to applicable federal law and mandatory consumer-protection laws of the jurisdiction in which you reside, these Terms and disputes arising from them shall be governed by the laws of the State of Oklahoma, without regard to conflict-of-law principles.
If a claim proceeds in court rather than arbitration, you and DownRangeTec consent to exclusive jurisdiction and venue in the state or federal courts sitting in Lincoln County, Oklahoma, except where applicable law requires that a consumer be permitted to sue in the consumer's home county or state.
40. SEVERABILITY
If any provision of these Terms is determined to be unlawful, invalid, or unenforceable, that provision will be enforced to the maximum extent permitted by law or severed where necessary, without invalidating the remaining provisions.
41. NO WAIVER
Failure by DownRangeTec to enforce any provision of these Terms on one occasion does not waive the right to enforce that provision or another provision later.
42. ASSIGNMENT
You may not assign your rights under these Terms without DownRangeTec's prior written consent. A Verified Win claim is personal to the winning Player and may not be sold, transferred, or assigned except as required by law.
DownRangeTec may assign these Terms in connection with a merger, acquisition, reorganization, asset transfer, affiliate restructuring, or sale of the Service, subject to applicable law.
43. ENTIRE AGREEMENT
These Terms, the Privacy Policy, and any additional official rules expressly incorporated into them constitute the agreement between you and DownRangeTec concerning the Service. They supersede prior or contemporaneous oral or written statements about the Service, except that they do not supersede any separately signed written agreement.
44. ELECTRONIC COMMUNICATIONS AND ACCEPTANCE
You consent to receiving legally required notices electronically where permitted by law.
Electronic acceptance of these Terms has the same effect as signing a written agreement to the extent recognized by applicable law.
DownRangeTec may maintain records documenting: the version of Terms presented; timestamp of acceptance; Guest Session; IP address; browser and device information; and other evidence reasonably necessary to establish acceptance.
